🀝User Agreement

Welcome to https://www.blooprint.io/ , an online user platform (the "Platform" or "App") delivered by Blooprint Labs ("we", "us", or "our"). The Platform provides a gateway to a decentralized protocol on multiple public blockchains, including but not restricted to Ethereum, enabling users to trade selected interoperable digital assets ("the Blooprint Labs protocol" or the "Protocol"). The Platform is a means, but not the only method, of interacting with the Protocol. To utilize the Platform, you require non-custodial wallet software that allows you to connect with public blockchains. Your relationship with your non-custodial wallet provider is subject to their terms of service, not this User Agreement (the "Agreement").

This Agreement outlines the terms and conditions governing your access and use of the Platform. We encourage you to read this Agreement thoroughly. By accessing or using the Platform, you confirm that you have read, comprehend, and agree to abide by this Agreement in full. If you do not agree, you are not permitted to access or use the Platform and should refrain from doing so.

NOTICE: This Agreement, governing your use of the Platform, contains significant information, including a binding arbitration clause and a class action waiver, affecting your legal rights for resolving disputes. You should only access the Platform if you wholly agree with these terms.

Amendments to this Agreement

We hold the right, at our exclusive discretion, to amend this Agreement periodically. We will notify you of any amendments by updating the date at the top of the Agreement and by maintaining a current version of the Agreement at Blooprint Labs's terms of services. All amendments take effect when they are posted, and your continued use of the Platform confirms your acceptance of those changes. If you disagree with any changes to this Agreement, you should cease using the Platform immediately.

Eligibility

You must be legally capable of entering into a contract with us to access or use the Platform. Thus, you confirm that you are of legal age in your jurisdiction (for instance, 18 years old in the United States) and possess the full capacity and authority to abide by this Agreement's terms and conditions on your behalf and on behalf of any company or legal entity you represent.

You also confirm that you are not (a) subject to any economic or trade sanctions imposed or enforced by any government authority or listed on any register of prohibited or restricted parties (including but not limited to the list maintained by the Office of Foreign Assets Control of the U.S. Department of the Treasury) or (b) a citizen, resident, or organized in a jurisdiction or territory under comprehensive economic sanctions by the United States. Lastly, you confirm that your access and use of the Platform will comply with all relevant laws and regulations and will not facilitate or conduct any unlawful activity.

Ownership Rights

We possess all intellectual property and other rights related to the Platform and its contents, including (but not limited to) software, text, images, trademarks, service marks, copyrights, patents, and designs. This intellectual property is available under the terms of our copyright licenses and our Trademark Guidelines.

Reserved Rights

We retain the following rights, which are not obligations: (a) to modify, substitute, remove, or add to the Platform with or without prior notice; (b) to review, modify, filter, disable, delete, and remove any content and information from the Platform; and (c) to comply with any law enforcement, court or government investigation, or third party request for information disclosure you provide.

Privacy

The only information we collect when you use the Platform is your blockchain wallet address, completed transaction hashes, and token names, symbols. We do not collect any personally identifiable information (e.g., your name or other identifiers that can be linked to you). However, we use third-party service providers that might receive or independently collect your personal information from publicly-available sources. We have no control over how these third parties manage your data, so you should review their privacy policies to understand how they collect, use, and share your information. By accessing and using the Platform, you consent to our data practices and our service providers' handling of your information.

We use the collected information to detect, prevent, and mitigate illicit or harmful activities on the Platform. For these purposes, we may share the collected information with blockchain analytics providers. We only share information with these service providers to promote the Platform's safety, security, and integrity.

Please note that when you use the Platform, you interact with Ethereum or another public blockchain, which inherently may expose your transactions. Blooprint Labs does not control and is not responsible for any information you make public on blockchains by using the Platform.

Forbidden Activity

You agree not to engage in or attempt to engage in any of the following prohibited activities in relation to your access and use of the Platform:

Infringement of Intellectual Property. Activity that infringes or violates any copyright, trademark, service mark, patent, publicity right, privacy right, or other proprietary or intellectual property rights under the law.

Cyberattack. Activity that aims to disrupt or compromise the integrity, security, or functioning of any computer, server, network, personal device, or other information technology system, including (but not limited to) deploying viruses and executing denial of service attacks.

Deception and Misrepresentation. Activity that intends to deceive us or any other person or entity, including (but not limited to) providing false, inaccurate, or misleading information to unlawfully acquire another's property.

Market Manipulation. Activity that breaches any applicable law, rule, or regulation regarding trading market integrity, including (but not limited to) manipulative tactics commonly known as β€œrug pulls”, pump and dumps, and wash trading.

Violations related to Securities and Derivatives. Activity that breaches any applicable law, rule, or regulation concerning the trading of securities or derivatives, including (but not limited to) unregistered offering of securities and offering leveraged and margined commodity products to retail customers in the United States.

Any Other Illegal Conduct. Activity that violates any applicable law, rule, or regulation of the United States or another relevant jurisdiction, including (but not limited to) the restrictions and regulatory requirements imposed by U.S. law.

Not Registered with the SEC or Any Other Agency

We are not registered with the U.S. Securities and Exchange Commission as a national securities exchange or in any other capacity.

Non-Solicitation; No Investment Advice

You acknowledge and understand that: (a) all trades you make through the Platform are considered unsolicited, meaning they are initiated solely by you; (b) you have not received any investment advice from us regarding any trades.

Non-Custodial and No Fiduciary Duties

The Platform is strictly non-custodial, indicating you are entirely responsible for the custody of the cryptographic private keys to the digital asset wallets you maintain. This Agreement does not aim to create or impose any fiduciary duties on us. To the fullest extent allowed by law, you acknowledge and agree that we owe no fiduciary duties or liabilities to you or any other party, and that to the extent any such duties or liabilities may exist at law or in equity, those duties and liabilities are hereby irrevocably disclaimed, waived, and eliminated. You further agree that the only duties and obligations we owe you are those explicitly outlined in this Agreement.

Compliance and Tax Obligations

The Interface may not be available or appropriate for use in your jurisdiction. By accessing or using the Interface, you agree that you are solely and entirely responsible for compliance with all laws and regulations that may apply to you. Specifically, your use of the Interface or the Protocol may result in various tax consequences, such as income or capital gains tax, value-added tax, goods and services tax, or sales tax in certain jurisdictions. It is your responsibility to determine whether taxes apply to any transactions you initiate or receive and, if so, to report and/or remit the correct tax to the appropriate tax authority.

No Registration with Regulatory Authorities

Please note that we are not enlisted with the U.S. Securities and Exchange Commission as a national securities exchange or any similar designation.

Absence of Solicitation and Investment Guidance

You acknowledge and comprehend that: (a) all trades initiated via the Interface are deemed unsolicited, meaning they are entirely initiated by you; (b) we have not provided you with any investment advice in relation to any trades.

Non-Custodial and No Fiduciary Duties

The Interface is strictly a non-custodial platform, signifying you hold exclusive responsibility for the safekeeping of the cryptographic private keys to the digital wallets you possess. This Agreement is not intended to, and does not, establish or impose any fiduciary responsibilities on us. To the greatest extent permitted by law, you acknowledge and agree that we do not have any fiduciary responsibilities or liabilities towards you or any other party, and that in case any such duties or liabilities exist under the law or in equity, those duties and liabilities are hereby irrevocably disclaimed, renounced, and eliminated. You further agree that the only obligations and responsibilities we owe you are those explicitly laid out in this Agreement.

Regulatory Compliance and Tax Obligations

The Interface might not be available or suitable for utilization in your jurisdiction. By accessing or using the Interface, you agree that you are solely and entirely responsible for adherence with all laws and regulations that may apply to you. Specifically, your use of the Interface or the Protocol might lead to various tax consequences, such as income or capital gains tax, value-added tax, goods and services tax, or sales tax in certain jurisdictions. You have the responsibility to determine whether taxes apply to any transactions you initiate or receive, and if so, to report and/or remit the correct tax to the relevant tax authority.

Assumption of Risk

By accessing and using the Interface, you state that you possess sufficient financial and technical acumen to comprehend the inherent risks associated with utilizing cryptographic and blockchain-based systems, and that you have practical knowledge of the usage and complexities of digital assets such as ether (ETH), so-called stablecoins, and other digital tokens such as those conforming to the Ethereum Token Standard (ERC-20).

You comprehend that the markets for these digital assets are nascent and exceedingly volatile due to risk factors, including but not restricted to adoption, speculation, technology, security, and regulation. You understand that anyone can create a token, including false versions of existing tokens and tokens that wrongly claim to represent projects, and you acknowledge and accept the risk of mistakenly trading these or other tokens. So-called stablecoins may not be as stable as they claim to be, may not be fully or adequately collateralized, and could be susceptible to panics and runs.

Moreover, you understand that smart contract transactions are automatically executed and settled, and that transactions based on blockchain are irreversible once confirmed. You accept and understand that the cost and speed of transacting with cryptographic and blockchain-based systems like Ethereum can fluctuate and may dramatically increase at any moment. You further acknowledge and accept the risk of opting to trade in Expert Modes, which could expose you to potentially substantial price slippage and elevated costs.

In conclusion, you recognize that we are not accountable for any of these variables or risks, do not own or control the Protocol, and cannot be held liable for any subsequent losses you incur while accessing or using the Interface. Therefore, you agree to accept full responsibility for all of the risks of accessing and using the Interface to interact with the Protocol.
